1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client"), and WebzAPI ("we," "us," or "our"), concerning your access to and use of our website (webzapi.com) as well as any custom software development, SaaS engineering, or consulting services provided by us.

By engaging our services, you agree that you have read, understood, and are bound by all of these Terms. If you do not agree, you are expressly prohibited from using our services.

2. Services & Project Scope

WebzAPI provides elite digital product development. The specific scope of work, deliverables, tech stack, and timeline for your project will be defined in a mutually agreed Project Proposal or Statement of Work (SOW). Any feature requests or structural changes made outside the signed SOW will be considered Scope Creep and will be billed separately at our hourly consulting rate or quoted as a new milestone.

3. Payment Terms & Milestones

To maintain exceptional quality and commitment, our payment schedules are strictly enforced. For fixed-price projects (such as our Startup Sprint or Full-Stack Pro plans), payments are divided into milestones unless stated otherwise:

• 30% Upfront Deposit: Required to secure your slot in our development sprint and commence architectural planning.
• 30% Progress Payment: Due upon approval of high-fidelity designs/UI layouts before entering the core engineering phase.
• 40% Final Payment: Due upon project completion, prior to migrating the code to your production servers and transferring IP rights.

For Hourly Consulting or Monthly Retainers, invoices are generated securely on a recurring cycle and must be cleared within 5 business days.

4. Intellectual Property & Code Ownership

We believe in absolute transparency. Upon receipt of the final 100% payment, full intellectual property rights, source code, and deployment architectures of the custom-built application are transferred entirely to the Client. We reserve the right to retain underlying open-source libraries or reusable boilerplates that were not custom-engineered exclusively for the Client.

WebzAPI reserves the right to showcase the completed project in our portfolio and marketing materials unless a specific Non-Disclosure Agreement (NDA) preventing this has been signed.

5. Revisions & Approvals

Client feedback is crucial. We structure our sprints to include designated review phases. Delays in client feedback exceeding 5 business days may result in a pause in development and a shift in the final delivery timeline.

6. Post-Launch Support & Maintenance

Every completed fixed-price project includes 30 days of priority post-launch support. This covers fixing critical bugs and deployment errors directly related to the original scope of work. It does not cover new feature additions, third-party API changes, or errors caused by client-side code modifications. Extended maintenance is available via our Monthly Retainer variants.

7. Refund & Cancellation Policy

Client satisfaction is paramount. If you choose to terminate the project within the first 14 days of the kickoff, we will evaluate the engineering hours and resources expended and issue a partial refund from the upfront deposit. After the 14-day window, or once structural engineering has commenced, deposits become non-refundable to cover the opportunity cost and labor deployed.

8. Limitation of Liability

WebzAPI shall not be liable for any indirect, consequential, or incidental damages, including loss of profits, revenue, or data arising out of your use of the delivered software. Our total liability under any project engagement shall strictly not exceed the total amount paid by the Client to WebzAPI for that specific project.

9. Governing Law & Jurisdiction

These terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
